Terms and conditions of purchase

 BASIC CONCEPTS

Electronic store - an electronic store located at www.grometa.lt.

Seller - www.grometa.lt, GROMETA, UAB, legal entity code - 300632711, registered office address - Švitrigailos str. 8, Vilnius, LT-03223.

Seller's store - GROMETA UAB store, located at - Švitrigailos str. 8, Vilnius

Buyer - a person who purchases or orders goods in the E-shop and is their end user or uses other services provided in the E-shop.

Personal data - the buyer's personal data provided by the buyer when registering or ordering goods in the electronic store, and the history of the goods purchased by the buyer, if the requirements of the law on data protection of the Republic of Lithuania apply to the processing of such data.

Working day - every day of the week, except for saturdays and sundays and public holidays, which are declared non-working days in accordance with the legal acts of the Republic of Lithuania.

Rules - Rules for using the e-shop www.grometa.lt.

 

1. GENERAL PROVISIONS

 

1.1. These Purchase and Sale Rules (hereinafter - the Rules) are a binding document for the parties, which establishes the rights and obligations of the person purchasing the goods in the e-shop (hereinafter - the Buyer) www.grometa.lt (hereinafter - the Seller), the conditions of purchasing and paying for the goods, the procedure for delivery and return of goods, liability of the parties and other provisions related to the purchase and sale of goods in the Electronic Store. By purchasing the goods in the E-shop, the Buyer agrees to the application of the Rules. independently dispose of their income.

1.2. By approving the rules, the Buyer guarantees that in accordance with 1.2. has the right to purchase goods in the Electronic Store.

1.3. In order to use the E-shop (to become a Buyer), a visitor of the E-shop must register by entering his / her e-mail address and the created password in the registration field. Submission of this data is a prerequisite for successful registration.

1.4. By registering or placing an order in the E-Shop, the Buyer unconditionally confirms that he is properly acquainted with the Rules and undertakes to comply with them. The Buyer is not given the opportunity to place an order for goods or services in the E-Shop if he is not familiar with the Rules or does not agree with them. In cases where the Buyer does not agree in whole or in part with all or part of the Rules, he must not press the "register" button, otherwise the Buyer is considered to accept and assume the obligations and responsibilities arising from this action and agree to the Rules in full.

1.5. The online store is open 24 hours a day, from 00:00. until 24.00

 

2. PURCHASE-SALE AGREEMENT

2.1. Purchase and sale agreements regarding the Goods sold in the Electronic Store are concluded and executed only in the territory of the Republic of Lithuania.

2.2. The Agreement between the Buyer and the Seller is considered concluded from the moment when the Buyer has formed a shopping cart in the E-shop, indicated the delivery address, selected the payment method and read and agreed with the Rules, click the "confirm order" button. The contract is valid until the full fulfillment of the obligations of both parties to the contract.

2.3. Each contract concluded between the Buyer and the Seller is stored in the Seller's database. 

 

3. RIGHTS AND OBLIGATIONS OF THE BUYER

3.1. Upon successful registration, an individual e-purchase account of the Buyer is created, to which the Buyer can log in only by entering the e-mail address used during registration and the password created.

3.2. The Buyer undertakes to store the data (password) for logging in to the Buyer's electronic purchasing account and not to disclose it to third parties. The Buyer is responsible for the storage of the login data provided to him, as well as for any actions (data transfer, orders placed, user comments, etc.) performed in the e-shop after logging in to the Buyer's e-purchase account, and the consequences thereof.

3.3. In order to purchase order in the e-shop, the buyer must indicate the following data: name, surname, e-mail, postal address, telephone number, residential address. If the Buyer is a Legal Entity, in order to purchase order in the e-shop, the following data must be provided: company name, company code, VAT code, e-mail, postal address, telephone number, registered office address. Mandatory specified data is necessary for the Seller in order to properly execute the Buyer's order. Without providing the required data, the Buyer will not be able to purchase order.

3.4. The Buyer is responsible for ensuring that the Buyer's data provided in the e-store is accurate, correct and complete. If the data provided by the Buyer in the s-shop changes, he must update them. The Seller will not be liable for damages incurred by the Buyer and / or third parties due to the fact that the Buyer provided incorrect and / or incomplete personal data or did not change or supplement the data as a result of such changes. If the Buyer provides personal data of third parties when using the e-shop, the Buyer is responsible for the legality of the submission and use of such data.

3.5. The Buyer has the right to freely change, supplement or submit a request to the Seller to cancel his registration at any time in his account. Upon cancellation of the registration, the Buyer loses the opportunity to use the e-shop and place orders in it. The buyer regains the opportunity to place an order only after re-registering in the e-shop.

3.6. The Buyer undertakes to accept the ordered and handed over the items of suitable quality (except for the cases when the Buyer has the right to demand to change or terminate the Agreement), as well as to settle properly with the Seller in the manner chosen by the Buyer.

3.7. The Buyer undertakes to comply with the Rules and not to violate the legal acts of the Republic of Lithuania.

 

4. RIGHTS AND OBLIGATIONS OF THE SELLER

4.1. The Seller undertakes to make efforts to create suitable conditions for the Buyer to use the services provided by the Electronic Store.

4.2. In case the Buyer seeks to damage the stability and security of the e-shop, violates its obligations, places orders and fails to pay, repeatedly fails to contact the Buyer with the specified contacts or the Buyer otherwise impairs the online store, the Seller has the right to immediately and without notice or to cancel the Buyer's access to the e-shop, not to fulfill his orders, to deduct the incurred losses, and to apply to the pre-trial investigation institution regarding the Buyer's criminal liability for malicious actions of the Buyer.

4.3. The Seller undertakes to respect the Buyer's right to privacy of the personal information belonging to the Buyer specified in the e-shop registration form and not to transfer it to third parties, except in cases when it is necessary for the delivery of the items.

4.4. The Seller undertakes to deliver to the Buyer the appropriate quality, properly packaged items corresponding to the order or to provide the services ordered by the Buyer in accordance with the procedure and conditions established in the Rules.

4.5. To deliver the ordered Goods to the Buyer within the specified terms. If more than one Product is ordered, the delivery deadline is the longest delivery time for the Product. If the Seller is unable to deliver the goods within the specified term, it shall inform the Buyer thereof.

4.6. To perform warranty obligations to the Buyers in accordance with the procedure established in the Rules.

4.7. If the Buyer withdraws from the Agreement, in accordance with the procedure (cases) and terms established in the Rules, return the money paid for the goods or services to the Buyer and / or replace the goods of inappropriate quality with similar, appropriate quality goods.

4.8. To process the personal data of the Buyer received during the conclusion of the Agreement in accordance with the procedure established by these Rules and the Law on Personal Data Protection of the Republic of Lithuania.

4.9. To perform other obligations of the Seller set forth in these Rules.

 

5. ORDERING GOODS, PRICE OF GOODS AND PAYMENT FOR GOODS

5.1. In the e-shop, the Buyer can place orders 7 days a week, 24 hours a day. per day. The seller processes orders and consultations by phone, e-mail. by post on working days I-IV from 8.00 am to 5 pm, V from 8 am until 4 pm.

5.2. To order goods from the e-shop, the Buyer must log in to his e-purchase account. If the Buyer has not filled in the form “My data” in the Buyer's e-purchasing account before ordering the goods, he must provide the data necessary for accepting the order before finally confirming the order of goods.

5.3. The Agreement enters into force from the moment when the Buyer, when buying online, clicks the "I confirm the order" button, and upon receipt of the order, the Seller confirms it by sending a confirmation letter to the e-mail specified by the Buyer by mail.

5.4. The prices of the goods in the e-shop and the formed order are indicated in euros with the added value added tax (VAT). The Buyer may pay for the goods only in the official currency of the Republic of Lithuania - euros. When the official currency of the Republic of Lithuania changes, the prices of goods are converted in accordance with the procedure established by legal acts.

5.5. The price of the goods valid at the time of order confirmation applies to the items.

5.6. For the service of delivery of goods by courier, the rates valid at the time of placing the order of goods specified in the "Delivery of goods" section of the electronic store menu apply. The delivery price of the goods applies to the entire ordered shopping cart and is not divided into individual goods.

5.7. The buyer can pay for the goods or services in one of the following ways:

5.7.1. Payment using the electronic banking system is a prepayment via the electronic banking system used by the Buyer at a bank or bank branch with which the Seller has entered into a service agreement. Banks and bank branches through which payment can be made in the manner described in this item shall be specified in the Electronic Store when confirming the order. Using this payment method, the payment order must be confirmed no later than within 3 (three) hours from the submission of the order to the Seller and the moment of forming the payment order. The Buyer transfers the money to the Seller's account. The payment shall be deemed executed when the Bank confirms to the Seller that the payment order has been executed successfully. The responsibility for data security at the time of the Buyer's payment in this case lies with the specific bank, as all monetary transactions take place in the bank's electronic banking system.

5.7.2. Payment by bank transfer is an advance payment when the Buyer transfers money to the current account specified by the Seller. The Buyer undertakes to pay by advance bank transfer no later than within 3 (three) business days from the moment of placing the order in the Electronic Store. Payment is considered made when the amount due is credited to the Seller's bank account. The responsibility for data security at the time of the Buyer's payment in this case lies with the specific bank, as all monetary transactions take place in the bank's electronic banking system. The Seller shall send a pre-invoice for the order by the Buyer to the e-mail address specified in the confirmed order of the Buyer who has chosen this prepayment method. The Buyer transfers the money by bank transfer to the Seller's current account in accordance with the rates and rules applied by the Buyer's bank. If this payment method is chosen, the Buyer must indicate the exact amount of money indicated in the Seller's advance invoice, the number of the confirmed order in the payment destination field, as well as other information fields necessary for executing the payment order (Beneficiary – GROMETA, UAB, Registration number: 300632711, Bank account LT95 7044 0600 0580 4420).

5.7.3. Deferred payment. This payment method is available only to Legal Entities that have signed cooperation agreements.

5.8. After concluding the Contract, the VAT invoice shall be submitted to the e-mail address specified in the Buyer's order and / or during the delivery (transfer-acceptance) of the Goods. The purchase documents indicate: the ordered Goods, their quantity, the final price of the Goods, including all taxes, discounts granted by the Seller, the delivery fee for the Goods and other necessary data provided.

5.9. When ordering or purchasing goods in the e-shop, the Buyer may not pay for the goods by gift vouchers, non-cash provided by insurance companies and in other ways that are not specified as a means of payment in these Rules. 

 

6. DELIVERY OF GOODS

6.1. Delivery of ordered goods is organized in two ways:

6.1.1. Pick up of the ordered Goods in the Seller's store at Švitrigailos str. 8, Vilnius, on working days I-IV from 8 am to 5 pm, V from 8 am until 4 pm, we are closed on the weekends.

6.1.2. The goods are delivered to the address specified in the Buyer's order by the Seller's authorized representative (courier):

- DPD Pickup parcels delivery of goods - FREE of charge if the total amount of ordered goods / services is more than 20  Eur. Otherwise, delivery of goods - 2.00 Eur. Delivery of goods to your chosen shipment point / terminal within 1 - 3 working days after successful payment.

- DPD Courier Service (CONTACTLESS DELIVERY OF SHIPMENTS) delivery of goods - FREE of charge if the total amount of ordered goods / services exceeds 20  Eur. Otherwise, delivery of goods - 3.30 Eur. Delivery of goods throughout Lithuania within 1-3 working days after successful payment. The goods are delivered on working days from 8 am to 10 pm.

 

SHIPMENT TO A PRIVATE PERSON:

The recipient's signature on the courier scanner is replaced by a PIN code. The PIN code is provided via SMS.

The consignee receives a 4-digit PIN code (via SMS or to the Viber app, if used) before delivery.

1. Upon arrival of the courier, the consignee shall indicate the PIN code.

2. The courier enters the specified code on his scanner.

3. If the code is correct, the courier leaves the parcel at a distance of 2 meters from the recipient.

6.3. Delivery costs specified in the VAT invoice provided to the Buyer.

6.4. The goods are delivered or issued only to the Buyer or the consignee specified in his order, upon presentation of an identity document (passport of a citizen of the Republic of Lithuania, identity card, new model driver's license or permanent residence permit in the territory of the Republic of Lithuania).

6.5. Upon proper delivery of the goods to the address specified in the Buyer's order and to the consignee specified by the Buyer, the Buyer shall not have the right to make claims to the Seller regarding the delivery of the goods to the wrong entity.

6.6. If the Buyer provides an incorrect address or does not find the Buyer, or another recipient of goods specified by the Buyer in the order, the Buyer shall reimburse the costs of delivery of the goods incurred by the Seller.

6.7. The terms of delivery of the Goods specified in the Rules are preliminary. The Seller is not responsible for missing the delivery time due to no fault of its own or circumstances beyond the Seller's control.

6.8. If the Buyer's shopping cart contains at least one product, the Seller of which cannot deliver the desired quantity to the Buyer within the terms specified in these Rules, the Seller shall immediately inform the Buyer at the e-mail address or telephone number specified in his e-purchase account and indicate the possible delivery time. If the buyer does not agree with the changed delivery term, he can cancel the order. In this case, the Seller shall refund the amount paid to the Buyer under the previous order within 14 calendar days from the cancellation of the order.

6.9. In the cases provided for in this section, the amounts returned to the Buyer shall be transferred by the Seller to the payer's bank account specified by the Buyer at the time of submission of the respective order, from which the payment for the order was made.

6.10. The quantity, quality and completeness of the ordered goods must be checked at the time of delivery of the goods to the Buyer, except in cases when due to the nature of the goods it is not possible to determine its quality at the time of delivery. If the Seller submits goods of poor quality, incomplete or not in accordance with the Buyer's order, the Buyer has the right to refuse to accept them.

6.11. When accepting the purchased goods, before signing the delivery documents, the buyer has the opportunity to inspect the condition of the outer packaging of the consignment and, if it is damaged, the buyer has the right to inspect the order content - packaging, quantity, quality and range. If the Buyer notices defects in the goods or discrepancies between the shipment and the order, the Buyer must not accept the shipment and fill in a special shipment inspection report together with the courier, indicating the violations and informing the Seller about the phone number or e-mail address specified in these Rules. If the Buyer confirms the delivery documents without comments, it is considered that the goods have been delivered to him in the intact packaging of the consignment.

6.12. The signing of the documents accompanying the Goods confirms the proper transfer - acceptance of the Goods. The Buyer, who has not indicated the goods or other defects related to the transfer of the goods in the documents accompanying the Goods, loses the right to later raise objections (claims) to the Seller regarding the same.

6.13. In all cases, the Seller is released from liability for violation of the terms of delivery of goods, if the goods are not delivered to the Buyer or are not delivered on time due to the fault of the Buyer or due to circumstances beyond the control of the Seller.

 

7. QUALITY AND WARRANTY OF GOODS

7.1. The warranty periods of the goods start from the day of proper delivery (delivery) of the goods to the Buyer, or from the day of issuing the invoice. Warranty terms are specified in the "Warranty conditions" section of the e-shop menu.

7.2. The Seller is not responsible for the fact that the goods presented in the online store in their color, shape or other parameters may not correspond to the actual shapes and colors of the goods due to the characteristics of the monitor used by the Buyer or other technical reasons.

7.3. The Seller provides a quality guarantee for certain types of goods, the specific term and other conditions of which are specified in the "Warranty conditions" section of the e-shop menu. In the absence of a reference to the quality guarantee in the product description, the guarantee provided by the relevant legislation is valid.

7.3. The warranty obligations of the manufacturer of the goods or the Seller are valid if the conditions of operation of the goods have not been violated.

7.5. The operating conditions of the goods covered by the manufacturer's warranty are specified in the manufacturer's instructions for use.

7.6. The warranty does not apply in the event of failures due to natural disasters, power supply failures, mechanical or chemical damage, damaged warranty stickers or otherwise in violation of the product's instructions for use or product's operating conditions.

7.8. Transportation costs due to defective Goods during the warranty period are not reimbursed.

 

8. RETURN AND EXCHANGE OF GOODS

8.1. Defects in the sold goods are eliminated, low-quality goods are replaced and returned in accordance with the Government of the Republic of Lithuania Regulation 2014 July 22 by resolution no. 738 (Official Gazette, 2014, No. 2014-10565). More in the "Return" section of the e-shop menu.

8.2. The Buyer has the right to return the goods by notifying the Seller in writing (by e-mail info@grometa.lt or by post Švitrigailos str. 8, Vilnius) within 14 calendar days from the date of delivery of the goods or the day of concluding the Agreement on services provided by the Seller. The Buyer, having received the Seller's confirmation of the withdrawal from the Agreement, must agree with the Seller on the method, time and place of return of the goods within 2 working days at the latest.

8.3. In order to return or change the product (s), the Buyer must inform the Seller by e-mail and fill in a special product exchange-return form, indicating the name of the returned product, order number and reasons for return or exchange before sending the unsuitable goods.

8.4. The buyer can send the returned or exchanged goods in the most convenient way.

8.5. If the Buyer is late in returning the goods within the allowed term and the term is missed for more than 3 calendar days, the Seller reserves the right not to accept the returned goods.

8.6. Upon return of the goods by the Buyer, the money will be returned to the Buyer's bank account no later than within 14 calendar days from the date on which the Seller received the goods and the appropriate return documents.

8.7. The Buyer may exercise the above-mentioned right to terminate the Agreement on the purchase and sale of the Goods only if the Goods have not been used, damaged or their appearance has not changed (undamaged labels, unripped protective films, etc.). Returned goods must be fully assembled, and the original packaging of the returned goods must be undamaged and clean. The requirements specified in this clause shall not apply (except for damage to the goods) to the returned defective goods.

8.8. If the Buyer returns a product that he has not ordered or a defective product, the Seller undertakes to accept such goods and replace them with similar suitable goods within a reasonable time. In the event that the Seller does not have goods suitable for replacement, the Buyer shall be refunded the amount paid, including the price for delivery.

8.9. If the Buyer returns the product purchased during the promotion, the amount actually paid for the product (after the discount) is refunded.

8.10. If the Buyer is subject to free delivery, in case of return of the item (s), shipping costs will be deducted from the total amount paid by the Buyer (if it no longer meets the terms of free delivery or the entire order is returned) according to the delivery rates valid at the time of purchase.

8.11. If the Seller incurs additional delivery costs during the delivery due to the fault of the Buyer, in case of return or exchange of the goods, the Seller has the right to deduct the incurred damage from the refundable amount.

8.12. If the Buyer orders more than 2 (two) units of the same type of goods, which the Seller must produce or order from suppliers, it is considered an Individual Order. Such goods are non-refundable and must be paid for in advance.

 

9. PROTECTION OF PERSONAL DATA

9.1. The Seller, to the extent required by the conditions of concluding and executing the sales contract, has the right to receive information identifying the Buyer and confirming his right to conclude the Contract, and the Buyer intending to enter into the sales contract must indicate his personal data: name, surname, delivery address , telephone number and e - mail address; if the Buyer is a Legal Entity, in order to order goods in the E-shop, the following data must be indicated: company name, company code, VAT code, e-mail, postal address, telephone number, registered office address.

9.2. When registering in the e-shop, the Buyer must provide correct personal information. The buyer is responsible for providing the correct data. By registering in the Seller's online store, the Buyer agrees to provide the Seller with his personal data specified in the Rules and the registration form.

9.3. After the Buyer approves these Rules (agrees to the processing of personal data), his personal data is used only for the purposes of concluding and executing the contract concluded in electronic form, as well as for the purposes of direct marketing of the Goods sold and analysis of the Seller's activities.

9.4. By agreeing to the application of the Rules, the Buyer agrees that the personal data provided by the Buyer will be processed for the purposes of sales of goods and services in the Electronic Online Store, analysis of the Seller's activities and direct marketing. The Buyer also agrees that the e-mail specified in the Buyer's registration form information messages necessary for ordering the goods would be sent to the e-mail address and telephone number.

9.5. The Buyer, who does not agree with the processing (use) of his personal data for the purpose of direct marketing and analysis of the Seller's activities, has the right to notify the Seller of his disagreement by e-mail info@grometa.lt or by mail Švitrigailos str. 8, Vilnius.

9.6. The Seller's identity document submitted to the Seller or the Seller's authorized representative (courier) and the Buyer's personal data specified therein shall be used only for proper personal identification.

9.7. The Seller confirms and guarantees that: it does not use the personal data of the Buyers for purposes other than those specified in the Rules; Buyers' personal data is processed (used) in strict compliance with the requirements of legal acts regulating the protection of personal data; when processing the personal data of the Buyers, take all necessary technical and organizational data security measures to ensure the security of personal data. 

 

 

10. FINAL PROVISIONS

10.1. These Rules of Purchase and Sale of Goods have been drawn up in accordance with the legal acts of the Republic of Lithuania and do not restrict the Buyer's rights established in the legal acts of the Republic of Lithuania, including the rights to purchase goods of inappropriate quality.

10.2. All disagreements arising from the implementation of these Rules shall be resolved through negotiations. If no agreement is reached, disputes shall be settled in accordance with the laws of the Republic of Lithuania.
